Valu-Trac Investment Management Limited (VT) is looking to add an additional Non-Executive Director to its Board.

VT is a long established Host Authorised Corporate Director (ACD) / Authorised Fund Manager (AFM) registered in England and operating in Scotland, being one of the larger ACDs’ (by assets under management and also the number of funds operated).

Over the last 12-18 months VT has been going through a substantial transformation programme in terms of processes and people, building its capabilities for the future. As part of that the Board, having undertaken a comprehensive skills assessment, has identified the need to recruit an Independent Non-Executive Director who would bring specific skills and experience having operated in the ACD / Independent authorised fund manager industry, and is familiar with current ACD regulations and operations. Of specific interest to the Board will be those individuals who currently work in or have recently worked in a senior position in an ACD – be that an independent ACD or an ACD / Fund administration and accounting division / oversight / product governance within a larger fund group. Prior experience as an approved person within the FCA’s SMCR regime will be helpful, as well as strong familiarity with the regulatory frameworks within which we operate. This working knowledge should be up to date.

Board and Committee meetings are held monthly in Moray, with an expectation that at least half of these would be attended in person, with an appropriate mix of “in person” and virtual meetings to accommodate individual circumstances. In total the time commitment is expected to be circa 20-25 days per annum.

Duties will include being a member of the Board subcommittees – Risk & Compliance, Audit, Remuneration and Nomination, and Assessment of Value, with the potential to take on the Chair role of one of the committees dependent on skills and experience. The Board is keen to promote and enhance diversity, but is primarily concerned with attracting individuals with the mix of skills identified above. Existing experience as an NED is helpful, but equally we are keen to work with and support individuals with the right skills and experiences for whom this might be their first NED role.

Remuneration will be appropriate to the duties and time commitment outlined above.
